Nomination Committee

A nomination committee was set up on 1 February 2012 with written terms of references to review the structure, size and composition (including the skills, knowledge and experience) of the Board at least annually and make recommendations on any proposed changes to the Board to complement the Company’s corporate strategy. The nomination committee comprised four members, namely, Mr. Chen Yihua, Mr. Lee Zak Yuen, Mr. Zhang Wei and Mr. Chan Ngai Fan of which the majority members of the nomination committee, except Mr. Zhang Wei, all are being independent non executive Directors. The role and function of the nomination committee include to identify individuals suitably qualified to become Board members and select or make recommendations to the Board on the selection of individuals nominated for directorships and to make recommendations to the Board on the appointment or reappointment of directors and succession planning for directors, in particular the chairman of the Board and the chief executive. The nomination committee is chaired by Mr. Chen Yihua.
